APRES AVOIR ETE EXPOSE CE QUI SUIT :
Le Partenaire fabrique des produits audiovisuels pour les professionnels et commercialise sa/ses marque(s) par l'intermédiaire de réseaux de distribution dont fait partie la société EXAMPLE CO.
Afin de poursuivre son actuelle croissance et de continuer à prospecter et développer une nouvelle clientèle, le Partenaire a souhaité bénéficier du concours et des services spécifiques de EXAMPLE CO. dans le cadre de la promotion et de la commercialisation de ses produits auprès de revendeurs et d'intégrateurs autres professionnels ne relevant pas des obligations d'achat et de vente.
Le Partenaire s'est rapproché de EXAMPLE CO. qui déclare disposer d'une structure, d'une expérience et d'un savoir-faire spécifique lui permettant d'assurer, pour le compte du Partenaire et dans le cadre de la présente convention de coopération commerciale, les services particuliers ci-après décrits.
Les parties ont, en conséquence, convenu de collaborer, dans leur intérêt réciproque et en vue de développer une coopération commerciale, selon les termes et conditions du présent contrat cadre qui a vocation à être complété par des contrats d'application spécifique à chaque service et/ou opération de coopération commerciale.
IL A ETE CONVENU CE QUI SUIT :
Article 1 : Objet de la convention
Le présent contrat est un contrat cadre qui a pour projet de définir
les grandes catégories de services que la société EXAMPLE CO. a accepté d'assurer pour le compte du Partenaire auprès d'autres professionnels constituant la clientèle de EXAMPLE CO., en vue de la promotion et du développement des ventes de ses produits,
ainsi que les modalités de leurs rémunérations.
Ce contrat cadre sera complété par des contrats d'application, indissociables dudit contrat cadre, précisant les éléments de la coopération commerciale non encore connus à la date de conclusion des présentes et notamment la définition détaillée des services par catégorie de produit, leurs dates, leurs durées, notamment pour les promotions, et leurs rémunérations.
Dans ce contexte, la société EXAMPLE CO. s'engage à assurer, pour le compte du Partenaire, les catégories de services spécifiques suivantes :
Mise en avant des produits du Partenaire dans les conditions définies au(x) contrat(s) d'application attaché à chaque catégorie de produit et service (bannières web, news, fiches techniques, images, logos, etc...)
Création, édition et diffusion auprès de la clientèle o de catalogues et de prospectus,
o d'emailing de promotion et d'information,
o de communiqués de presse et d'information écrite
Organisation et mise en place d'actions
o de prospection, profilage et de relance client
o d'incentive commerciale EXAMPLE CO. ou du Partenaire
o de comarketing client
Organisation et mise en place
o d'espace de démonstration
o de formations-produit
o de salons, de journées portes ouvertes,
Préconisation d'actions de marketing adaptées
Information spécifique des autres professionnels sur les caractéristiques et spécificités des produis ou certains d'entre eux.
Dans ce cadre, afin d'assurer pour le compte du Partenaire, les prestations et services cités ci-dessus et précisés dans chaque - contrat d'application, EXAMPLE CO. déclare qu'il dispose d'un savoir-faire commercial spécifique, d'une organisation, d'un personnel suffisamment qualifié et d'une structure de coopération commerciale adaptée comprenant notamment les moyens matériels suivants :
Une équipe de direction commerciale et de gestion des ventes
Une équipe de marketing et des outils de création de publications multi formats
Des services administratifs, informatiques et comptables
Deux showroows où sont exposés les produits
Article 2 : Obligations de la société
Le Partenaire s'engage à coopérer pendant toute la durée du présent contrat avec EXAMPLE CO. afin de lui permettre d'assurer pour son compte et dans de bonnes conditions les prestations visées à l'article 1 et précisées dans chaque contrat d'application dans le cadre de la promotion et du développement des ventes des produits du Partenaire.
A ce titre, le Partenaire s'engage plus particulièrement à :
Apporter à EXAMPLE CO. toutes les informations et l'assistance raisonnablement nécessaires à la réalisation, à l'exécution de ses engagements contractuels et notamment en lui fournissant régulièrement les données, le matériel et les installations lui permettant de mener à bien ses missions.
Veiller au respect des délais de livraison et à toutes ses obligations légales réglementaires contractuelles à l'égard de la clientèle et des tiers.
Article 3 : Rémunération de EXAMPLE CO.
En contrepartie des services fournis par EXAMPLE CO. dans les conditions définies à l'article 1 de la présente convention et précisées dans les contrats d'application complétant le présent accord cadre, EXAMPLE CO. percevra une rémunération de la part de la société Partenaire correspondant aux montants par produit et service dans les conditions négociées entre les parties et définies dans les contrats d'application prévus.
Cette rémunération sera payée par le Partenaire à EXAMPLE CO. dans les conditions précisées audit(desdits) contrat(s) d'application et donnera lieu à l'émission d'une facture par la société EXAMPLE CO.
Les parties déclarent expressément qu'elles sont et demeureront pendant toute la durée du présent contrat des partenaires commerciaux et professionnels indépendants.
Article 5 : Usage de la marque et de l'enseigne de la société
La société EXAMPLE CO. reconnaît qu'elle ne bénéficie aux termes du présent contrat d'aucun droit de propriété ou d'usage sur la marque et l'enseigne de la société Partenaire.
EXAMPLE CO. s'interdit donc en conséquence de les utiliser de quelque manière ou à quelque titre que ce soit à moins d'y avoir été spécialement autorisée par le Partenaire préalablement et par écrit et en vue de la réalisation et de l'exécution du présent contrat exclusivement.
Article 6 : Durée du contrat
Le présent contrat qui prend effet à compter du 1er Janvier 2017 est conclu jusqu'au 31 Décembre 2017.
Il ne pourra en aucun cas se renouveler par tacite reconduction, en conséquence les parties seront libres à l'expiration de la durée initiale de renégocier un nouveau contrat si elles le souhaitent.
Article 7 : Résiliation anticipée
Le présent contrat pourrait être résilié par anticipation par l'une ou l'autre des parties en cas d'inexécution de l'une ou quelconque des obligations.
La résiliation interviendra un mois après une mise en demeure signifiée par lettre recommandée avec accusé de réception à la partie défaillante indiquant l'intention de faire application de la présente clause résolutoire expresse restée sans effet.
Article 8 : Modification du contrat.
Le présent contrat cadre ainsi que les contrats d'application qui en découlent pourront être modifiés en cours d'exécution sous condition d'un commun accord entre les parties et notamment pour y adjoindre des produits et services par voie d'avenant écrit signé par chacune d'elle.
Le(s) contrat(s) d'application auquel il est fait référence dans le présent contrat cadre forme(nt) avec celui-ci un ensemble indivisible et ne saurai(en)t être détaché(s) du présent accord.
Article 9 : Droit applicable
De convention expresse entre les parties, le présent contrat est régi est soumis au droit français.
Article 10 : Litiges
Tous les litiges auxquels le présent contrat pourrait donner lieu concernant tant sa validité que son interprétation, son exécution, sa résiliation leurs conséquences et leurs suites seront, à défaut d'accord amiable, soumis au Tribunal de Commerce de LYON.
Article 12 : Election de domicile
Pour les besoins des présentes, les parties font élection de domicile.

IT HAVING BEEN STATED THAT:
The Partner manufactures audio-visual products for professionals and sells his/ her brand(s) via distribution networks which include the company EXAMPLE CO..
In order to continue their current growth and continue to explore and develop new clients, the Partner wished to benefit from the specific competition and services of EXAMPLE CO. as part of the promotion and marketing of their products to resellers and integrators of other professionals not subject to the purchase and sale obligations.
The Partner has approached EXAMPLE CO. who state that they have a structure, the experience and a specific know-how enabling them to ensure, on behalf of the Partner and as part of this commercial cooperation agreement, the specific services described below.
The parties have, consequently, agreed to collaborate, in their mutual interest to develop a business cooperation, according to the terms and conditions of this framework agreement which is intended to be completed by application contracts specific to each service and/ or business co-operation.
IT WAS AGREED THAT:
Article 1: Purpose of the agreement
This contract is a framework agreement which is intended to define the main categories of services that EXAMPLE CO. has agreed to provide on behalf of the Partner to other professionals constituting the EXAMPLE CO. clientele, for the promotion and development of the sales of their products, as well as the terms of their remuneration.
This framework agreement shall be completed by application contracts, inseparable from the said framework agreement, specifying the elements of the trade co-operation that are still unknown on the date of conclusion of the present agreement and especially the detailed definition of services by product category and their dates and times, especially for promotions and their remunerations.
In this context, EXAMPLE CO. is committed to ensure, on behalf of the Partner, the following specific categories of services:
Highlighting of the Partner’s products under the conditions defined in (x) application contract(s) attached to each product and service category (web banners, news, data sheets, images, logos, etc...)
Creating, editing and distribution to clients
o of catalogues and flyers,
o of promotion and information emails,
o of press releases and written information,
Organisation and implementation of actions
o prospecting, client profiling and recovery
o EXAMPLE CO. or Partner sales incentive
o Joint Client Marketing
Organisation and implementation
o demonstration area
o product training
o fairs and open days,
Recommendation of appropriate marketing actions
Specific information from other professionals on the characteristics and specificities of the products or certain of them.
In this framework, in order to ensure on behalf of the Partner, the benefits and services listed above and specified in each - Application contract, EXAMPLE CO. declares to have a specific commercial expertise, an organisation, suitably qualified personnel and a suitable trade co-operation structure including in particular the following material resources:
A commercial management and sales management team
A marketing team and tools for creating multi-format publications
Administrative, IT and accounting services
Two showrooms where products are exhibited
Article 2: Company obligations
The Partner agrees to cooperate with EXAMPLE CO. for the duration of this contract, in order to allow them to ensure on their behalf and in good condition, the services referred to in Article 1 and specified in each application contract, in the context of the promotion and development of the sales of the Partner products.
As such, the Partner is specifically committed to:
Supplying EXAMPLE CO. with all the information and reasonable assistance necessary for the implementation, the execution of their contractual obligations and in particular regularly providing them with the data, equipment and facilities enabling them to carry out their tasks.
Ensuring compliance with delivery periods and all their contractual regulatory legal obligations towards their clients and third parties.
Article 3: EXAMPLE CO. Remuneration
In consideration of the services provided by EXAMPLE CO. under the conditions defined in Article 1 of this Contract and specified in the application contracts completing this framework agreement, EXAMPLE CO. shall receive a remuneration from the Partner company, corresponding to the amounts per product and service found in the terms negotiated between the parties and defined in the application contracts provided.
This remuneration shall be paid by the Partner to EXAMPLE CO., under the conditions specified in the said application contract(s), and will give rise to the issuance of an invoice from EXAMPLE CO..
Article 4: Declaration of reciprocal independence.
The parties expressly declare that they are and shall remain, for the duration of this contract, business Partners and independent professionals.
Article 5: Use of the company brand and logo
EXAMPLE CO. recognises that they do not receive under this agreement, any right of ownership, or use, of the Partner’s company brand or logo.
EXAMPLE CO. is therefore prohibited from using them, in any manner, or for any purpose whatsoever, unless they have specifically been authorised by the Partner beforehand and in writing, and with the exclusive view of implementing and executing this contract.
Article 6: Contract length
The contract takes effect from 1 January 2017 and is concluded until 31 December 2017.
It will in no case be renewed by tacit agreement, therefore the parties will be free, on the expiration of the initial term, to renegotiate a new contract if they wish.
Article 7: Early termination
This contract may be terminated early, by either party, in the event of failure of one or any of the obligations.
The termination will occur one month after a notice period is served by registered letter, with acknowledgment of receipt, to the defaulting party, indicating the intention to apply this expressly unheeded resolutely clause.
Article 8: Amendment to this agreement.
This framework agreement and the resulting application contracts may be modified during execution on condition of mutual agreement between the parties and in particular to adjoin products and services by way of a written amendment signed by each of them.
The application contract(s) pursuant to which reference is made in this framework agreement form with them an indivisible whole and shall not be detached from this Contract.
Article 9: Applicable law
By express agreement between the parties, this contract is governed subject to French law.
Article 10: Disputes
All disputes to which this contract may give rise, as regards its validity, its interpretation, execution, termination, and its consequences will be submitted to the Commercial Court of LYON in the absence of an amicable agreement.
Article 12: Election of domicile
For the purposes hereof, the parties address for service.
